Beyond Entity – Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Beyond Entity platform and related services (the "Service"), operated by Beyond Entity Inc. ("Beyond Entity", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
1. Definitions
- User: An individual who registers for or uses the Service.
- Team: A workspace within the Service used to manage projects, models, processors, and related artifacts. Internally referred to as an organization.
- Enterprise: A parent account that manages multiple Teams for billing and governance purposes.
- External Collaborator: A User invited to a Team who is not an employee or member of the owning company (e.g., system integrator developers).
- Project: A collection of system designs, including data models, processor definitions, Git repositories, and workspaces.
- Customer Content: All content created, uploaded, or generated within the Service by or on behalf of a Team, including models, schemas, processor definitions, metadata, and generated code.
- MCP (Model Context Protocol): A mechanism that allows AI systems to generate outputs based on structured design definitions within the Service without requiring manual copying of Customer Content.
2. Account Registration and Access
- Each User must register with accurate and complete information.
- A User may belong to multiple Teams, each with separate ownership, permissions, and billing.
- Access to a Team is governed by roles assigned by the Team Owner or Admin.
- Users invited as External Collaborators are granted limited access solely for collaboration purposes.
3. Team Ownership and Roles
- Each Team has one or more Owners with legal and billing authority.
- Admins may manage day-to-day operations, projects, and members but cannot manage billing or ownership.
- Members and External Collaborators have access rights as explicitly granted.
- Removal of a User from a Team immediately revokes that User’s access to the Team’s Customer Content.
4. Customer Content and Ownership
- Customer Content is owned by the Team that creates or uploads it, not by individual Users.
- Beyond Entity does not claim ownership of Customer Content.
- Beyond Entity may process Customer Content solely to provide, maintain, and support the Service.
- Upon termination of a User’s access to a Team, the User retains no rights to access or reuse that Team’s Customer Content.
5. Git-Based Workflow and Projects
- Projects and associated Git repositories are owned by the Team, not by individual Users.
- Projects are created and managed using organization-level credentials or service identities.
- Pull requests, branches, diffs, and reviews are core features of the Service and are available during active subscriptions and trials.
- Beyond Entity does not guarantee compatibility with all external Git providers but will document supported integrations.
6. Trial Period and Subscription Plans
- 14-Day Reverse Trial: New Teams may access full Professional features for fourteen (14) days without providing payment information.
- During the trial, no artificial limits are imposed on projects or features.
- After the trial period ends, if no paid subscription is activated, the Team’s projects will transition to read-only mode.
- In read-only mode, Customer Content remains accessible for viewing, but editing, importing, and pull request creation are disabled.
- No Customer Content is deleted solely due to trial expiration.
7. Subscriptions, Billing, and Pricing
- Paid subscriptions are billed per User (seat) and charged to the Team or Enterprise.
- Pricing, features, and limits are described on the pricing page and may change with prior notice.
- Early-bird or launch pricing, where offered, applies only for the stated duration and conditions.
- Fees are non-refundable except where required by applicable law.
- Payments for paid subscriptions are processed by Paddle.com, our authorized Merchant of Record.
- Paddle is responsible for billing, payment processing, and applicable taxes.
- Subscriptions renew automatically unless canceled prior to the end of the billing period.
- Cancellation can be managed through the billing portal provided by Paddle.
8. AI Features and MCP Usage
- The Service may include AI-assisted features, including code generation and explanations.
- AI features operate using MCP to consume structured Customer Content directly within the Service.
- Users are not required to copy or paste schema files or design definitions into external AI tools.
- Depending on the subscription plan, AI features may use:
- User-provided API keys, or
- Beyond Entity–managed AI services.
- AI-generated outputs are derived from Customer Content and are treated as Customer Content.
9. Acceptable Use
Users agree not to:
- Use the Service for unlawful or unauthorized purposes
- Attempt to bypass usage limits or security controls
- Access Customer Content belonging to other Teams without permission
- Reverse engineer, resell, or misuse the Service
10. Suspension and Termination
- Beyond Entity may suspend or terminate access to the Service for violations of these Terms or non-payment.
- Upon termination, Customer Content may be retained for a limited period for legal or operational reasons, after which it may be deleted in accordance with the Privacy Policy.
11. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, Beyond Entity shall not be liable for indirect, incidental, or consequential damages arising from use of the Service.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated, and continued use of the Service after such changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the Republic of Korea, unless otherwise required by applicable law.

15. Language
This Terms of Service may be provided in multiple languages for the convenience of users. In the event of any discrepancy or inconsistency between language versions, the English version shall prevail.
